- "We / Us / Our"
- Bua Counsel, a legal services firm with its principal place of practice at 56/12 Charoen Prathet Road, Chang Khlan, Chiang Mai 50100, Thailand.
- "Client / You"
- Any individual or legal entity who engages our services, submits an enquiry, or uses this website.
- "Services"
- The legal counsel and advisory services offered by Bua Counsel, as described in Section 3 of these Terms.
- "Content"
- All materials, documents, written advice, templates, and information produced by Bua Counsel in connection with any engagement.
- "Website"

Acceptance of Terms
By submitting an enquiry through our website, initiating contact with our office, or proceeding with any engagement, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
Our services are available to individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements under applicable law. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not accept these Terms, please do not submit information through this website or proceed with an engagement.
Service Description
Bua Counsel provides family legal services in Chiang Mai, Thailand, with a focus on the following areas of practice:
- Adoption Procedure Counsel — Patient guidance through the documentation, procedural coordination, and attendance requirements involved in domestic or cross-border adoption recognition.
- Property Division Counsel — Structured support for separating couples addressing the division of shared assets, including property, accounts, vehicles, and joint business interests.
- Long-Term Family Counsel — A standing engagement for families with ongoing legal questions, structured around regular written reviews and consultation availability.
Our services are delivered from Chiang Mai, Thailand, and are primarily relevant to matters arising under Thai law or involving Thailand-based assets and family arrangements. Matters with significant cross-border elements may require coordination with counsel in other jurisdictions.
The availability of specific services may vary. We will inform you during the initial consultation if a matter falls outside our current scope.
Engagement & Scope of Work
A formal engagement with Bua Counsel begins following an initial intake conversation and the signing of an engagement letter setting out the agreed scope of work, applicable fees, and any specific conditions.
Submitting an enquiry through our website or contacting us by telephone or email does not itself constitute an engagement, and no legal advice is provided through those channels prior to a formal engagement being established.
The scope of each engagement is defined in the relevant engagement letter. Any material changes to scope require written agreement from both parties before the additional work is undertaken.
Where a matter evolves in a way that brings it outside the original scope, we will discuss the situation with you before proceeding further.

In connection with your use of our website and any engagement with our services, you agree to the following:
Accuracy of Information
You will provide complete and accurate information when completing our enquiry form and during any subsequent intake conversation. The quality of legal counsel depends on the accuracy of the information we receive.

All content on this website — including text, design, structure, and imagery — is owned by or licensed to Bua Counsel and is protected under applicable Thai and international intellectual property law.
You are granted a limited, non-exclusive, non-transferable licence to access and view website content for personal, non-commercial purposes. This licence does not extend to reproduction, publication, or distribution of any part of the website without prior written consent.
Documents and written advice prepared by Bua Counsel during an engagement remain the intellectual property of Bua Counsel unless otherwise agreed in writing. Clients receive a licence to use such materials for the purposes of their specific engagement.
You may not use any Bua Counsel materials to provide legal advice or services to third parties, or in any commercial context, without separate written agreement.
Payment Terms
Our current service fees are as follows, denominated in Thai Baht:
Payment terms, accepted methods, and instalment arrangements (where applicable) are set out in the engagement letter for each matter.
Where a matter is not completed due to a change in your circumstances or a decision to discontinue, fees for work already completed will be assessed on a proportionate basis and discussed with you before any invoice is issued.
All prices are inclusive of standard disbursements unless otherwise noted. Third-party costs such as government filing fees or translation expenses may be invoiced separately at actual cost.
Confidentiality
We treat all information shared with us in connection with an enquiry or engagement as confidential. Information provided to Bua Counsel will not be disclosed to third parties except where required by applicable law, by a court order, or where disclosure is necessary to carry out the agreed work (for example, submission to a relevant authority).
We ask that you also treat information shared by Bua Counsel — including our process documentation, templates, and written analyses — as confidential and not share it outside the context of your matter without our written consent.

Disclaimers
The information presented on this website is for general informational purposes only and does not constitute legal advice. Each family situation is distinct, and no general description can account for the particular circumstances of any individual matter.
Legal outcomes in family matters depend on many factors outside our control, including decisions made by courts or administrative authorities, changes in applicable law, and the conduct of other parties. Bua Counsel does not represent that any particular outcome will be achieved through our services.
Our website is provided on an "as available" basis. We do not warrant that it will be accessible at all times, free from technical error, or entirely secure from external interference. We maintain reasonable security practices, but cannot accept responsibility for unauthorised access beyond our reasonable control.

Limitation of Liability
To the extent permitted by Thai law, Bua Counsel's total liability to any Client in connection with a specific engagement shall not exceed the total fees paid by that Client for the relevant matter.
Bua Counsel shall not be liable for any indirect, consequential, or incidental loss, including loss of opportunity, loss of income, or emotional distress, arising from our services or from any failure or delay in the delivery of those services.
Nothing in these Terms limits our liability for fraud, wilful misconduct, or for any liability that cannot be excluded or limited under applicable Thai professional standards or consumer protection law.
Force majeure events — including but not limited to government actions, natural events, or disruptions to essential services — that affect our ability to deliver services will be communicated to you promptly, and we will work with you to determine a reasonable path forward.
Indemnification
You agree to indemnify and hold Bua Counsel, its practitioners, and staff harmless from any claims, costs, or liabilities arising from:
- Your provision of inaccurate, incomplete, or misleading information during an enquiry or engagement.
- Your violation of these Terms and Conditions.
- Your misuse of materials prepared by Bua Counsel outside the agreed scope of engagement.
This indemnification does not apply to any matter arising from the negligence or wilful misconduct of Bua Counsel.
Termination
Either party may terminate an engagement by providing written notice to the other. Termination does not relieve either party of obligations incurred prior to the date of termination.
Where you choose to discontinue an engagement, fees for work already completed will be assessed as described in Section 7. Where Bua Counsel terminates an engagement due to a breach of these Terms, the same principle applies.
In limited circumstances — such as a conflict of interest arising during an engagement — Bua Counsel may need to withdraw from a matter. In such cases, we will provide reasonable notice and assist where possible with a transition to alternative counsel.
Sections concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution survive the termination of any engagement.
Dispute Resolution
These Terms and any engagement with Bua Counsel are governed by and construed in accordance with the laws of the Kingdom of Thailand.
In the event of a dispute arising from these Terms or from a service engagement, we ask that you first raise the matter with us directly so that we may seek an amicable resolution. We take concerns about our service seriously and prefer to address them through open communication where this is possible.
If a dispute cannot be resolved through informal discussion within a reasonable period, the parties agree to submit the matter to mediation before initiating any formal legal proceedings. Mediation shall be conducted in Chiang Mai, Thailand, in the English language unless both parties agree otherwise.
If mediation does not resolve the matter, disputes shall be subject to the exclusive jurisdiction of the courts of Chiang Mai, Thailand.
General Provisions
- Entire Agreement
- These Terms, together with any engagement letter, constitute the entire agreement between the parties and supersede any prior discussions or correspondence on the same subject.
- Severability
- If any provision of these Terms is found to be unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full effect.
- Waiver
- Failure by either party to enforce any right under these Terms on any occasion shall not constitute a waiver of that right on any subsequent occasion.
- Assignment
- You may not assign your rights or obligations under these Terms to any third party without our prior written consent. We may transfer these Terms in connection with a reorganisation of our practice, provided your rights are not materially affected.
- Notices
- Notices under these Terms should be sent to [email protected] or to our Chiang Mai office address. Notices sent by email are deemed received on the next business day.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our practice, applicable law, or the services we offer. Material changes will be reflected in an updated "Last Updated" date at the top of this page.
We encourage you to review this page periodically. For active engagements, we will notify you of any changes that materially affect the terms of our arrangement.
Continued use of our website or continuation of a service engagement following a change in these Terms constitutes your acceptance of the revised Terms.
